These Terms of Service constitute an agreement between you (the "User") and GUARDACO LDA, a company registered in Portugal (company no. 516458965, Rua Latino Coelho, 87, 1050-134 Lisboa) and Guardium LTD, a company registered in the British Virgin Islands (company no. 2182646, Quijano Chambers, P.O. Box 3159, Road Town, Tortola), collectively referred to as the "Company" or "Guarda". During a transitional period either entity may provide the Services.
Guarda develops and customises blockchain and cryptocurrency software. These Terms cover the Services and Software, including the mobile, web and desktop applications, the browser extension and the website www.guarda.com. By using the Services you accept these Terms. The Company may amend the Terms; changes are published on the Website in advance and take effect upon publication. Invitation-only Referral Programs are subject to these Terms and the separate Referral Program Terms.
Account registration may be required and is governed by the Privacy Policy and AML Policy. By registering, the User confirms that they:
The Company grants the User a worldwide, non-exclusive, non-transferable, non-sublicensable, limited license to use the Software.
Services are offered either directly by Guarda or through third parties.
Guarda provides a free license to the Guarda wallet and browser extension. The Company does not provide payment or exchange services; for exchange, staking, loans and similar features it acts solely as an intermediary.
Dealings with Third-Party Integrations are solely between the User and the third party. The Company makes no warranties, is not a party to such transactions, has no control over rates or commissions, receives no payments from Users, and bears no refund liability. Claims must be directed to the relevant provider. Third-party providers include, without limitation:
This list is non-exhaustive; the Company may use other providers.
Participation is voluntary and invitation-only. The Company determines eligibility, rewards, percentages and payment conditions under the Referral Program Terms, and may reject payouts, withhold or cancel rewards, suspend participation, or discontinue the program on reasonable belief of a violation.
The Company's own Services are free and no fees are accepted, so no monetary refunds are available; by using the Software the User waives the 14-day withdrawal right. Refunds for third-party Services must be requested from the relevant provider.
Exchanges are final, non-refundable and irrevocable once completed. Only unsuccessful transactions can be refunded. No refunds are given for incorrect data entered by the User. High-risk transactions may be frozen and refund commissions may apply.
The User agrees not to use the Services from jurisdictions the Company prohibits; the Company may restrict access accordingly. The User provides true, accurate information and keeps it updated, bears any losses arising from invalid data, supplies identification or verification information on request (failing which the account may be suspended), and transacts only with their own legally obtained funds.
All Software materials are the property of the Company and are licensed for personal, non-commercial use only. Trademarks include the registered EU GUARDA trademark (EUIPO Application No. 018343541). Copying, scraping or distribution is prohibited.
Prohibited conduct includes: interfering with other users; disrupting the Software; illegal activities (money laundering, terrorist financing, fraud, illegal gambling, weapons, drugs); automated access; using another person's account; and providing false information. The license covers only Guarda's own products, not third-party services.
Virtual currency trading involves a substantial risk of loss. Do not risk funds you cannot afford to lose. The Company is not liable for any loss arising from use of the Website or Services. The Company applies best security practices, but no system is 100% safe and technical failures may interrupt the Services. The User must secure their devices and credentials, use antivirus and firewall software, and not share access with unauthorised third parties.
To the extent permitted by law, the Company is not liable for damages, lost profits, data or business. The Company is liable only for intentional misconduct, gross negligence, product-liability violations, or breach of material contractual obligations (limited to foreseeable damages). The User indemnifies the Company, its affiliates, officers and employees. The Service is provided "as is" and "as available" without warranties. The Company is not liable for force-majeure events, including software or smart-contract bugs, government acts and blockchain protocol changes. Guarda's liability is limited to the functionality and security of its own Software and never extends to losses from third-party services.
The Company complies with applicable law. The User is responsible for the legality of use in their jurisdiction and for the regulatory status of virtual currencies. The Company cannot control or ensure third-party compliance and is not responsible for due diligence on partners. The User determines, reports and remits their own taxes.
These Terms constitute the entire agreement and supersede prior statements. If any provision is invalid, the remainder stays in force. Failure to enforce a provision is not a waiver. The User may not assign rights without written consent; the Company may assign without notice. The English version prevails over any translation.
These Terms are governed by the law of the British Virgin Islands. Disputes are first resolved by negotiation. If unsuccessful, disputes are referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules, conducted in English, unless applicable law requires otherwise.
The User may terminate at any time as permitted by law. The Company may terminate, suspend or cancel an Account for: non-conformity with these Terms; legal requirement; court or government order; unusual, unauthorised or fraudulent activity; false or outdated information; or any other reason the Company deems relevant. The Company may file compensation claims, and access may be denied temporarily or permanently.
